Terms of Service#

Effective date: June 15, 2026 Company: Clipkit, Inc. ("Clipkit", "we", "us", "our") Service: the Clipkit hosted website, editor, API, MCP server, and rendering service at clipkit.dev (collectively, the "Service").

By accessing or using the Service, you agree to these Terms of Service ("Terms"). If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.


1. The Service#

Clipkit is a runtime for creating, editing, and rendering video described as structured data. The Service includes a hosted editor, a rendering service, an API, and an MCP server.

Open-source code vs. the hosted Service. Clipkit's open-source software is licensed separately under the terms in our LICENSING.md (Apache-2.0 / BSL). Those licenses govern the code. These Terms govern your use of the hosted Service and are independent of the code license.

2. Eligibility & accounts#

3. Anonymous use#

Some features may be available without an account ("Anonymous Use"). Anonymous content and links are ephemeral: they are stored only temporarily and may be deleted automatically after a retention period without notice. We provide no guarantee that anonymous content, links, or renders will persist. To retain work, create an account. Anonymous Use is subject to additional limits described in our Acceptable Use Policy, including restrictions on uploading files.

4. Your content & the licenses you grant#

You keep ownership. As between you and Clipkit, you retain all rights you hold in the content, assets, and creations you provide to or make with the Service ("Your Content").

To run the Service, and for the limited additional purposes below, you grant Clipkit the following licenses:

(a) Operational license (required to provide the Service). A worldwide, non-exclusive, royalty-free license to host, store, reproduce, render, transmit, cache, and display Your Content as necessary to operate, secure, and provide the Service to you and those you share it with.

(b) Promotional license (tiered).

(c) Service-improvement license (tiered).

You represent that you have all rights necessary to provide Your Content and to grant these licenses, and that Your Content does not violate the Acceptable Use Policy or any law or third-party right.

5. Acceptable use#

Your use of the Service is subject to our Acceptable Use Policy (AUP) at clipkit.dev/acceptable-use, which is incorporated into these Terms. We may remove content, suspend, or terminate accounts that violate the AUP.

The Service, and all software, designs, text, and trademarks provided by Clipkit (other than Your Content and the separately-licensed open-source code), are owned by Clipkit or its licensors and protected by law. "Clipkit" and our logos are our trademarks; see clipkit.dev/trademark. These Terms grant you no rights in our trademarks or branding.

9. Third-party services#

The Service relies on third-party providers (e.g., hosting, storage, payment, and content-safety vendors). Your use may be subject to their terms, and we are not responsible for third-party services.

We respond to notices of alleged copyright infringement under the DMCA and may remove content and terminate repeat infringers. See the DMCA section of our AUP or contact our designated agent at support@clipkit.dev.

11. Disclaimers#

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT CONTENT WILL BE PRESERVED.

12. Limitation of liability#

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIPKIT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

13. Indemnification#

You will indemnify and hold Clipkit harmless from claims arising out of Your Content, your use of the Service, or your violation of these Terms or any law.

14. Suspension & termination#

We may suspend or terminate your access at any time for violation of these Terms or the AUP, to comply with law, or to protect the Service or others. You may stop using the Service at any time. Sections that by their nature should survive termination will survive.

15. Changes to these Terms#

We may update these Terms; material changes will be notified via the Service or email. Continued use after changes take effect constitutes acceptance.

16. Governing law & disputes#

These Terms are governed by the laws of Delaware, USA, without regard to conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of those courts. Before bringing any claim, you agree to first contact us at support@clipkit.dev and attempt in good faith to resolve the dispute informally for at least 30 days.
